These Terms of Service (“Terms”) govern your access to and use of the websites, platforms, applications, and services (collectively, the “Services”) provided by NeuralMetrics, Inc. (“NeuralMetrics,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
NeuralMetrics provides AI-assisted underwriting and premium-audit decision support and related data and classification services for the commercial insurance industry. The Services are intended for business use by insurance professionals and their organizations.
Outputs of the Services (including classifications, appetite and eligibility indications, risk signals, and audit findings) are decision support intended to be reviewed by a qualified professional. They are not a substitute for professional underwriting judgment or a guarantee of any outcome.
We may add, modify, suspend, or discontinue features of the Services at any time.
You must be at least 18 and capable of forming a binding contract. Access to certain Services may require an account or a separate written agreement (an “Order” or “Master Services Agreement”). Where a signed agreement exists between you and NeuralMetrics, that agreement controls to the extent it conflicts with these Terms.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree not to:
“Customer Data” means data you or your organization submit to the Services. As between the parties, you retain all rights in your Customer Data. You grant NeuralMetrics a limited license to process Customer Data to provide and improve the Services, subject to our Privacy Policy and any applicable data processing agreement.
Our handling of personal information is described in our Privacy Policy.
The Services, including all software, models, data compilations, and content (excluding Customer Data), are owned by NeuralMetrics or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
The Services may incorporate or link to third-party services and public and licensed data sources. We are not responsible for third-party services, and your use of them may be subject to their own terms.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NeuralMetrics does not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or complete. You are solely responsible for underwriting, pricing, audit, and other decisions you make.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NeuralMetrics WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO NEURALMETRICS IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless NeuralMetrics from any claims, damages, and expenses arising from your Customer Data, your use of the Services, or your breach of these Terms.
We may suspend or terminate your access to the Services if you breach these Terms or use the Services in a manner that risks harm to NeuralMetrics or others. Upon termination, your right to use the Services ceases. Sections intended to survive (including IP, Disclaimers, Limitation of Liability, and Governing Law) survive termination.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Jefferson County, Colorado.
We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Your continued use of the Services after changes take effect constitutes acceptance.
